Constitution
and By-laws
as amended December 2004
FOREWORD
The purpose of this organization is to provide a close relationship among Club Members and to unite them in any activity that may benefit them and/or promote aviation in general.
Article I
(Name)
The name of this organization shall be Mansfield Aviation Club, Inc. (MAC)
Article II
(Membership)
The membership shall be divided into five classes:
Members - Associate Members - Honorary Members – Lifetime Members - Contributing Members
Members Members shall be;
Aircraft owners.
Pilots holding an active student pilot or higher certificate.
anyone deriving his or her livelihood from aviation.
by
invitation, others with an interest in aviation.
Associate Members The Spouse of an Active, Honorary or Lifetime Member will be considered an Associate Member. Associate Members may not vote or hold office, but are entitled to all other club privileges. Associate Members are exempt from payment of dues.
A Spouse of a deceased member may continue as an associate member by paying one half the annual dues.
Honorary Members Upon the recommendation of the Board of Directors, persons who have made an outstanding contribution to the Club, or to the advancement of aviation, may be elected Honorary Members. Honorary Members will be exempt from the payment of dues and may not vote.
Lifetime Members Must have been an active member of MAC for 20 years. The recommendation must be submitted in writing by 2 or more active members. The Board will present the nomination(s) at the Annual December membership meeting. Anyone receiving a lifetime membership shall be exempt from annual dues and be entitled to all active member privileges.
Contributing Members When the Board determines that it is to the benefit of the Club to enhance communication with local, state, national, or other officials, they are empowered to declare the individual a Contributing Member.
Contributing
Members will receive the Club Newsletter, but may not vote or hold office. They are exempt from payment of dues. The Board shall review the list of
Contributing Members each January and remove any individual that no longer
makes decisions that affect the Club, or it's members.
Termination of Membership
The Board of Directors may recommend the disqualification of an applicant, or dismiss a member if they have cause to believe that person is of objectionable character, or that they have committed an act that has brought discredit to the Club. The Secretary shall notify such members of termination of membership.
Article III
(Meetings)
1. The regular annual meeting

2. Special meetings of the members may be held at any time upon call of the President or a majority of the Board of Directors. A special meeting may be held at any place designated by the President or by a majority of the board of directors.
Article IV
(Organization)
1. An ‘Active Member’ is any current dues paying member in good standing.
2.. The officers shall be elected by a majority vote (paper ballots may be requested by any active member) of the membership from nominations received at the Annual December Membership meeting. Officers must be active members in good standing. All officers shall be elected for a term of one year.
3. The board of directors shall be composed of five or six members. These are, the four elected officers, the previous elected President or one elected trustee and, at their option, one additional trustee appointed by the Board.
4. No President, Vice President or elected trustee shall serve more than two consecutive terms in the same office.
5. The board of directors shall meet once a month on the day designated by the president. A quorum shall consist of any four members of the board.
6. Officers shall be elected and installed at the Annual December Membership meeting. They shall begin their duties the following January 1.
7. The fiscal year of this club shall begin January 1, and end December 31.
ARTICLE
V
(Duties of the Board
of Directors)
1. The Board of Directors shall act as an administrative board, generally assisting the president. The Board shall have authority to act in matters of business arising between meetings.
2. The board of directors will appoint the following committees:

Membership Auditing
Flying Activities Publicity
The Board shall also appoint other committees as deemed necessary.
3. It shall be the duty of the Board of Directors to rule on disputes or grievances pertaining to the activities of the Club which may arise within the membership.
4. The
board of directors shall authorize all expenditures of monies.
5. The Board of Directors will appoint a qualified active member to serve out the unexpired term of an officer who is unable to complete his/her term.
6. The Board shall have the authority to act on all Club business, including business not specifically noted in this document.
7. It shall be the duty of the board to consider all applications for membership in the Club. The decision of the Board shall be unanimous.
8. The Board of Directors may appoint temporary committees whenever special needs occur.
ARTICLE
VI
(Duties of the Committees)
1. The Nominating Committee shall consist of three active members who will meet sixty days prior to the Annual December Membership meeting. The nominations of the committee shall be presented for election at the Annual December Membership meeting.
2. The duties of the Membership Committee will be to obtain prospective members and submit their applications to the Board of Directors. The Membership Committee will also assist the treasurer with the collection of dues.
3. The Flying Activities Committee shall promote flying events.
4. The Social Committee shall arrange all social events for the entertainment of Club members.
5. The auditing committee shall examine the books of the Secretary and of the Treasurer and report thereon to each Annual December Membership meeting.
6. The Chair of all committees shall meet with the Board at each monthly meeting. All proposed activities shall be submitted to the board for approval.
7. The Publicity Committee shall edit and publish the Club Newsletter as near monthly as practicable. They shall also be responsible to see that any newsworthy items are distributed to the media.
ARTICLE
VII
(Duties of the
Officers)
President The
President shall preside at all meetings of the members and Board of Directors,
and perform generally all the duties usually incident to such office.
Vice-
President The Vice-President shall perform all the duties of the President in the case of the latter's absence or disability.
Secretary The Secretary shall: Keep an accurate account of all transactions at the meetings. Write all communications. file all papers and documents pertaining to the Club transactions. Issue notices of dues payable to each member at the beginning of the fiscal year. Notify members of delinquent dues and termination of membership. Perform such other duties as usually appertain to the office.
At the expiration of his/her term of office, the Secretary shall deliver all books and papers belonging to the Club, to the President, or to his/her successor in office.
Treasurer The Treasurer shall: Receive and safely keep all monies and property belonging to the Club. Keep an accurate account of the finances of the Club. Render an accounting of the standing of the Club at each meeting. Perform such other and further duties as may be required.
All funds shall be disbursed under the direction of, and with the approval of the Board of Directors. Proper vouchers shall be taken for all disbursements.
At the expiration of his/her term of office, the Treasurer shall deliver all monies and property to the President, or to his/her successor in office.
ARTICLE
VIII
(Amendments)
1. The Constitution and By-Laws may be amended, provided a copy of the proposed amendment(s) have been submitted to the Board of Directors. The Board shall then submit the amendment(s) to the membership at the Annual December Membership meeting or a Special meeting for vote.
2. Any Constitutional Amendment(s), to become effective, must receive a two-thirds vote of the members present at the Annual December Membership meeting or Special meeting.
BY-LAWS
ARTICLE I
(DUES)
Dues shall be payable annually in advance. Any member who is delinquent in dues for more than Six (6) months automatically forfeits his/her membership. The member whose membership is pending shall be notified in writing by the Board 90 days prior to forfeiture and discontinue other mailings at that time. The member may be re-instated by paying the delinquent amount.
If the Board shall determine that dues being collected are not sufficient for the proper operation of the Club, it shall request the members to approve an increase. Such an increase, if approved by the majority of the members present at a regular or special meeting will be implemented at the beginning of the next fiscal year.
ARTICLE
II
(RULES OF ORDER)
Robert's Rules of Order shall cover all parliamentary procedures not otherwise provided for in this Constitution and By-Laws.
